LOAA By-Laws

Article 1 Name
The name of this alumni organization is the Lambda Omicron Alumni Association of Alpha Phi Omega, National Service Fraternity.

Article 2 Purpose:
The purpose of this alumni organization shall be to promote the principles of Alpha Phi Omega among alumni members and the entire fraternity. This shall be accomplished by having a voice on the Region 5 alumni council, keeping alumni updated on the Lambda Omicron chapter activities and keeping the alumni updated on each other’s activities.

Article 3 Membership:
Section 1 Size
It shall be the aim of this alumni organization to maintain a sufficient number of active members to achieve and sustain the purpose of this alumni organization.
Section 2 Membership
Membership in the alumni organization shall be granted to persons who are duly registered in the National Office as former members of the Lambda Omicron Chapter of Alpha Phi Omega at West Virginia University. This includes former undergraduate members as well as current and former advisors and any honorary members.

Article 4 Officer
Section 1 Titles
President and Secretary/Treasurer
A. all of the officers listed above shall be elected
B. other temporary officers and/or committees may be appointed by the President
Section 2 Term of Office
The officers of this alumni organization shall serve a term not longer than 2 years before re-election.
Section 3 Voting
A majority of the active members present and voting, including proxies shall be required to elect each officer. Results of mailed ballot voting shall be effective on the 1st of the month after publication of results to the membership.
Section 4 Proxy Voting
Proxy voting by mail ballots or by proxy ballots brought by another current member shall be allowed.
Section 5 Vacancies of Office
In the case of resignation of an elected officer, the alumni organization shall elect a replacement as soon as is feasible.
Section 6 Regional Alumni Council
This alumni association’s representative to the Region 5 alumni council shall be the president. In the event that the president cannot attend a regional alumni council meeting, a representative shall be appointed by president.

Article 5 Duties of Officer
Section 1 President
A. Serve as the presiding officer at all association meetings.
B. Coordinate the functions of all alumni organization officers and committees.
C. Appoint committees as are necessary to carry out the program of the alumni association.
D. Serve as an ex-officio member of all committees.
E. Insure that the alumni association is operated in conformity with the principles set forth in the National By-Laws, the Standard Chapter Articles of Association, and these By-Laws.
F. Serve as the association’s representative to the Region 5 alumni council or appoint same.
Section 2 Secretary/Treasurer
A. Plan and organize the membership program of the alumni organization.
B. Perform duties of the president when he or she is unavailable.

Article 6 Meeting
Section 1 Frequency
This association will endeavor to meet at least once a year, at times and locations to be determined and at members convenience.
Section 2 Quorum
A quorum shall consist of any fraction over two-fifths of the active alumni association members, and shall be assumed present unless challenged.
Section 3 Voting
Only alumni association members shall be allowed to vote at meetings. Proxy or absentee voting shall be allowed for alumni association officer elections only.
Section 4 Rules of Order
The business of the alumni association shall be conducted by the latest edition of Robert’s Rules of Order.

Article 7 Due
The dues of this association shall be $1 per calendar year. These dues will go towards copying and postage. Any other funds needed shall be collected from the membership on a strictly voluntary basis. Non-payment of dues will result in loss of voting privileges and newsletter subscription.

Article 8 Amendment
Section 1. Amendments
These bylaws may be amended by a two-thirds vote of the active members of the alumni association in good standing, at a meeting of the alumni association, provided that the amendment was published to the association membership at least 14 days prior to it’s approval.
Section 2 Ratification
These bylaws shall become effective upon acceptance by a vote of two-thirds of the active alumni association members present and voting at an association meeting.
